§1.
The Foundation operates under the name European Mental Health Foundation, hereinafter referred to as "the Foundation".The Foundation was established by Wojciech Skwirowski, hereinafter referred to as the "Founder", by notarial deed Repertory A No. 954/2023.The Foundation acquires legal personality upon entry into the National Court Register (KRS).The Foundation is supervised by the Minister of Health and the Starost of Piaseczno County.The Foundation operates under the Polish Act on Foundations of 6 April 1984, as well as this Statute.The Foundation is apolitical and not affiliated with any religious denomination.Amendments to the Statute may be made by the Founder and the Management Board, with the consent of the Founder. Such amendments may not alter the statutory objectives set forth in the founding act.
§2.
The seat of the Foundation is Nowa Wola, Poland.
§3.
The Foundation operates within the territory of the European Union.
§4.
The Foundation may establish badges, honorary medals, awards and distinctions, and present them to natural or legal persons who have rendered outstanding service to the Foundation or contributed to achieving its objectives.
§5.
The Foundation’s objectives include:
Promoting knowledge about mental health.
Changing public awareness of mental illnesses and disorders.
Organizing mental health initiatives among EU citizens, especially in less developed countries.
Training new therapists, including psychologists and psychotherapists.
Influencing social awareness and changing parenting and caregiving mentalities.
Changing approaches toward individuals affected by trauma.
Disseminating knowledge about mental health disorders, particularly:
Their symptoms,
Treatment and therapy.
Changing systemic approaches to individuals facing chronic illness, death, and trauma in everyday life.
Changing the system for diagnosing and treating mental disorders and illnesses.
Reforming the education and supervision of therapists.
Improving support for individuals after suicide attempts.
Supporting families of people with mental health disorders.
Reforming approaches to the mental health of children and youth at home (lifestyle) and school (schoolstyle).
Addressing the mental health of elderly and ill individuals in care settings.
Supporting individuals affected by war, pandemic, and large-scale accident traumas.
Addressing trauma caused by economic loss, including job loss, bankruptcy, or loss of property.
Supporting research aimed at reducing the psychological burden on society.
Promoting the implementation of technologies in psychological and psychiatric care systems.
§6.
The Foundation pursues its objectives by funding or conducting activities such as:
Creating mental health protection systems for individuals with disorders and illnesses.
Providing care for children and youth, including safe spaces.
Supporting socially excluded individuals, including through the creation of safe environments.
Educating adults (e.g., school psychologists, pedagogues, teachers) about mental health in children and youth.
Establishing trauma care centers and developing programs for mental recovery.
Promoting preventive programs that teach mental hygiene across all age, social, and economic groups.
Creating support programs for people after suicide attempts and their families.
Offering psychological support for terminally ill individuals and their families.
Raising awareness among mental health professionals and creating training programs.
Conducting training, educational, and scientific activities.
Carrying out scientific research on the brain, mental health, the nervous system, dietetics as a foundation for mental well-being, and other relevant fields.
Developing IT systems to address mental health challenges.
Establishing institutions for prevention and treatment of mental disorders.
Organizing and supporting educational and awareness campaigns.
Holding exhibitions, conferences, symposia, seminars, concerts, and shows.
Organizing competitions and public voting campaigns.
Cooperating with governmental, local, EU, international, and third-country institutions and individuals.
Conducting lobbying activities as defined in the Act of 7 July 2005 on lobbying activities in the law-making process.
Providing assistance to persons affected by war, post-pandemic, mass accident, and traffic trauma.
Organizing think tanks and platforms for the exchange of ideas and knowledge.
Creating educational and development spaces for therapists.
§7.
To achieve its objectives, the Foundation may support the activities of legal and natural persons whose mission aligns with that of the Foundation.
§8.
The Foundation’s assets consist of the initial capital of PLN 2,000, provided by the Founder in equal parts.Of this amount, PLN 1,000 is designated for the Foundation’s economic activity.The Foundation’s assets also include any other property acquired during its operation.
§9.
The Foundation’s income may come from:
Donations, bequests, and legacies;
Grants and subsidies;
Income from public fundraising as defined by the Public Fundraising Act of 14 March 2014;
Income from the Foundation’s assets;
Income from business activities conducted by the Foundation.
§10.
Income from grants, subsidies, donations, bequests, and legacies must be used in accordance with the will of the donor or testator.Declarations regarding the acceptance of donations or inheritance are made by the Management Board.In case the Foundation is appointed as an heir, the Management Board shall accept the inheritance with the benefit of inventory.
§11.
The Foundation’s assets and income are used exclusively to fulfill its statutory objectives and to cover its operating costs.
§12.
The Foundation may conduct business activity consistent with its statutory objectives, and any profit generated shall be used to support those objectives.(Here, a full list of PKD codes can be added in annex form or referenced separately in the document.)The Foundation may acquire real estate, company shares, and financial instruments. Income from such investments shall be allocated to statutory goals.The Foundation maintains its financial and accounting records in accordance with legal requirements.The Foundation’s fiscal year is the calendar year. The first fiscal year ends on 31 December 2023.
§13.
The governing body of the Foundation is the Management Board.
§14.
The Management Board consists of 1 to 5 persons, appointed by the Founder for a three-year term.Board members may serve multiple terms.In the case of a single-member Board, it consists of a President.For multi-member Boards, the structure includes a President and at least one Vice President, who represent the Foundation in accordance with the Statute.The Founder may dismiss the Board or individual members before the end of their term.
§15.
The Management Board directs the Foundation’s activities and represents it externally. Its responsibilities include:
Approving annual operational and financial plans,
Adopting internal regulations,
Managing the Foundation’s assets,
Determining staffing and remuneration levels,
Making decisions not reserved for other bodies,
Accepting donations, inheritances, and grants,
Requesting and approving Statute amendments, mergers, or dissolution.
Board decisions are made by majority vote during official meetings. All members must be informed of meetings.By 30 November each year, the Board must submit an annual report to the Founder. The Board appoints the entity responsible for accounting, data protection, and financial reporting.
§16.
If the Board consists of one person, the President may represent the Foundation independently.In the case of a multi-member Board, representation may be made by the President acting alone or by the Vice President or Board Member acting jointly.
§17.
The Foundation may be dissolved if its objectives are fulfilled or if its resources are exhausted.Liquidators are appointed and dismissed by the Founder.The decision to dissolve must be adopted unanimously by the Management Board.Upon dissolution, remaining assets may be allocated to another EU-based foundation with similar objectives, by resolution of the Board.
The Foundation operates under the name: European Mental Health Foundation, hereinafter referred to as "the Foundation."
The Foundation was established in accordance with the laws of the Republic of Poland.
The Foundation has legal personality and operates on the basis of the Act on Foundations of April 6, 1984, and this Statute.
The Foundation is apolitical and not affiliated with any religious denomination.
The Foundation's seat is located in Lesznowola, Poland (ul. Gminna 43 / 6, 05-506 Lesznowola).
The Foundation operates within the territory of the European Union.
The Foundation may establish branches and representative offices in Poland and abroad, in particular in other EU member states.
The duration of the Foundation is unlimited.
The Foundation may cooperate with public institutions, non-governmental organizations, academic institutions, private entities, and international organizations, provided such cooperation aligns with its statutory objectives.
The Foundation may use its name, logo, and other visual identification elements in accordance with separate internal regulations.
The European Mental Health Foundation operates within the entire territory of the European Union.
Our headquarters is located in Poland:ul. Gminna 43 / 6, 05-506 Lesznowola, Poland
At present, the Foundation does not maintain any additional organizational units. However, as we grow, we plan to establish local branches in other EU countries, expanding our reach and ability to provide support across Europe.
1. Promoting mental health and well-being across the European Union through education, advocacy, and prevention.
2. Creating accessible mental health services, including the development of a dedicated mental health hospital and crisis support centers.
3. Conducting scientific research focused on conditions such as schizophrenia, depression, trauma, and addiction.
4. Supporting vulnerable groups, including the elderly, socially excluded individuals, and those affected by war or migration.
5. Training and educating mental health professionals, offering internships, academic partnerships, and practical experience.
6. Fighting stigma and raising awareness about mental health through public campaigns and community engagement.
7. Building international partnerships and influencing mental health policy at both national and EU levels.
The sole governing body of the Foundation is the Management Board.
The Management Board manages the Foundation’s activities and represents it externally.
The Management Board consists of one or more persons, including the President of the Board.The number of members is determined by the Founder.
Members of the Management Board are appointed and dismissed by the Founder.
A member of the Management Board may be appointed for an indefinite period. The same person may be reappointed multiple times.
The duties of the Management Board include in particular:
Developing and implementing the Foundation’s strategy and action plans,
Managing the Foundation’s assets and finances,
Preparing financial statements and activity reports,
Representing the Foundation before third parties,
Making decisions regarding the establishment of branches and foreign offices,
Accepting donations, subsidies, and grants.
Declarations of will on behalf of the Foundation are made:
By the sole President – if the Management Board consists of one person,
By the President acting alone or two Board Members acting jointly – if the Board has more than one member.
The Management Board may adopt internal regulations governing its work and the functioning of the Foundation.
The Founder may establish an Advisory Council or other consultative bodies, which do not constitute statutory authorities, to support the Foundation's activities.
The assets of the Foundation consist of all property and rights of a financial or non-financial nature acquired by the Foundation after its establishment.
The Foundation’s initial capital amounts to PLN 1,000 (one thousand Polish zlotys) and has been provided by the Founder.
The Foundation’s income may come from the following sources:
Donations, bequests, and inheritances,
Grants and subsidies from public and private entities, both domestic and foreign,
Income from fundraising campaigns and public collections,
Income from business activities conducted in accordance with applicable laws,
Income from the Foundation’s assets, including interest, dividends, and proceeds from property,
Other sources permitted by law.
All income and property of the Foundation shall be used exclusively to pursue its statutory objectives.
The Foundation may conduct business activities to support its statutory purposes. Income from business activities shall not be distributed among Board members or employees and must be allocated to the Foundation’s mission-related goals.
In case of accepting donations, bequests, or inheritances, the Management Board shall make a declaration of acceptance in accordance with applicable law.
The Foundation is allowed to hold funds in both Polish and foreign currencies, and manage its assets in accordance with principles of sound financial management.
Any amendments to this Statute may be made by the Founder.
The Foundation may be dissolved by decision of the Founder if the goals for which it was established have been achieved or can no longer be fulfilled.
In the event of dissolution, the Foundation’s remaining assets shall be allocated, by decision of the Founder, to organizations operating in the field of mental health, social support, or public benefit, whose purposes align with those of the Foundation.
Matters not covered by this Statute shall be governed by the applicable provisions of the Act on Foundations of April 6, 1984 and other relevant Polish and European laws.
